SentinelGrid Commercial License Agreement
Version 1.0 — September 12, 2024
This Commercial License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "Licensee") and SentinelGrid, Inc. ("Licensor") for the software product SentinelGrid ("Software"), which includes source code, documentation, and associated media.
1. Grant of License. Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, worldwide, perpetual license to install, use, modify, and distribute the Software as part of Licensee's own applications ("Licensee Products"), for up to the number of developers specified on the license purchase receipt.
2. Modifications. Licensee may modify the Software to create derivative works for use in Licensee Products. All derivative works remain subject to this Agreement and may not be redistributed or resold except as embedded in Licensee Products.
3. Restrictions. Licensee may not: (a) resell, sublicense, rent, lease, or distribute the Software as a standalone product, template, theme, or starter kit; (b) publish the Software, or any derivative, to a public marketplace, code-sharing site, or open-source repository; (c) use the Software beyond the licensed number of developers; (d) remove or alter any copyright or proprietary notices in the Software.
4. Intellectual Property. The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant Licensee any rights to Licensor's trademarks or trade names.
5. Updates. During the active subscription period, Licensee is entitled to receive updates, bug fixes, and new versions of the Software at no additional cost. Upon subscription expiration, Licensee retains perpetual usage rights for the last version downloaded but loses access to future updates.
6. Support. Licensor provides support via email and community channels. Response time and priority levels depend on the purchased tier (Starter, Pro, or Enterprise) as described on the pricing page.
7. Warranty Disclaimer. The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Licensor be liable for any claim, damages, or other liability arising from the use of the Software.
8. Limitation of Liability. In no event shall Licensor's total liability exceed the amount paid by Licensee for the Software in the twelve (12) months preceding the claim.
9. Termination. This Agreement terminates automatically if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Software and destroy all copies.
10. Governing Law. This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
11. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings.
